Terms and Conditions

  1. Acceptance - All Clients agree to these Terms and Conditions at the time their UWWWEB package(s) is paid for , indicating agreement to and acceptance of these Terms and Conditions.
     
  2. Charges - Charges for products and services, to be provided by UWWWEB, are defined on our pricing page and are fully outlined before paying for the service. All products and services require upfront payment, in full, and must be provided with Client submitted order to UWWWEB. Recurring annual service fees will be charged by UWWWEB at the time of renewal. Payment for services must be made by credit card or debit card. Payment is done online through the Clients account with UWWWEB. Our merchant service is Paypal. Clients are required to create, or log into their existing Paypal account to pay for UWWWEB services. Once the Client accepts these Terms and Conditions, and pays for their desired package, the term will commence. Should the Client have paid for UWWWEB service but not use it, UWWWEB will not reimburse or provide a refund for the product and/or service purchased. It is the Clients sole responsibility to ensure the products and services are provisioned properly, and within a timely and effective manner, to ensure effective use of our service.
     
  3. Go Live Date - As soon as the Client pays for their desired package, the term will commence. It does not matter what day of the week, month, or year the Client started their service, the Go Live Date is the date in which the service is paid for.
  1. Automatic Renewal - Every Client that signs up with UWWWEB will have their services automatically renewed at the end of their term. The same products and services the Client received when signing up will be renewed. The same domain(s) the Client registered will be renewed. The same length of time the Client signed up for will be renewed. Package prices may increase in value over the term, therefore the cost of the package the Client originally signed up for may increase and will be renewed. The renewal date is the same day the Client signed up, just 1 year later. The Client will be notified of the renewal 1 month before the lapse of the Clients service. The Client has 72 hours, before the renewal date, to notify UWWWEB if the Client does not wish to renew.

  2. Client Review - UWWWEB will provide the Client with as many opportunities as the Client wishes, to review the appearance, and content, of materials before and after going live. Such materials, web pages, edits, imagery, etc... will be deemed acceptable, and approved, by the Client and UWWWEB before going live, or changing.

  3. UWWWEB Review - UWWWEB reserves the right to cancel, or deny service, or edits, if the content placed on the Clients website is deemed inappropriate, offensive, or against the law in which country the Client is based, or UWWWEB is based. UWWWEB has a zero tolerance offence in the matter of drugs, firearms, and pornography. Any, and all, data contained on a Clients website, with such materials, will be deleted without notice, and the Clients service will be terminated without notice, and no refund will be granted in such cases.

  4. Turnaround Time - Subject to timely provision of materials from the Client, and review of the website content and imagery by UWWWEB, UWWWEB will install, and publicly post, the Client's website and/or edits within 72/hours upon completion of all necessary fields, and payment has been made by the Client. In cases where UWWWEB is responsible for the website creation and/or edits, the website creation and/or edits will be completed within an acceptable time frame, but dependant on delivery of Client supplied content, imagery, and approval of web pages/edits. For products and services offered by UWWWEB, the turnaround times will be indicated on the products and services page of our website. If the Client pays for UWWWEB to build their website, and the Client does not supply any material(s) to UWWWEB, UWWWEB will, at our discretion, create a website with generic content, and imagery, that UWWWEB will make live within 2 business weeks.

  5. Default - Accounts unpaid thirty (30) days after the date of invoice will be considered in default. If the Client in default maintains any information, or files, on UWWWEB's web server, UWWWEB will, at its discretion, remove all such material from its web server and/or disable the Client’s access to their account. Removal of such material, and disabling access, does not relieve the Client of the obligation to pay any outstanding charges assessed to the Client's account. Clients with accounts in default agree to pay UWWWEB reasonable expenses, including attorney fees, and costs for collection by third-party agencies, incurred by UWWWEB in enforcing these Terms and Conditions. Reinstatement of the Client’s account and/or website will require payment of all outstanding fees.

  6. Refund and Credit - There are no refunds or credits of any kind. It is the Clients sole responsibility to ensure that all spelling is correct when registering domain names, as well as ensuring all products and services are understood, before paying for UWWWEB service. In cases of automatic renewal, it is the Clients responsibility to notify UWWWEB 72 hours before the time of renewal, if the Client does not wish to renew. If the Clients account is renewed and the Client wishes to cancel, no refund or credit will be given, and the Client will have their service with UWWWEB for the amount of time it was renewed for, the Client will then be placed on the Do Not Renew list.

  7. Termination - Termination of services must be requested in a written notice, by the Client, and will be effective on receipt of such notice by postal mail, or e-mail. Telephone requests for termination of services will not be honoured until, and unless, confirmed in writing. Upon termination, all outstanding invoices must be paid in full. If termination of service is made by the Client, or UWWWEB, no refund will be given for any remaining months, if any. If the Client wishes UWWWEB to take the Client's website down during the cancelation process, the Client will still have access to the products and service they paid for, for the amount of time it was paid for. Upon written notice of cancellation, the Client's account will be placed on the Do Not Renew list.

  8. Legal Restrictions - UWWWEB's services may be used for lawful purposes only. Submission, transmission, or maintenance of any information or materials in violation of any local, provincial, or federal statutes and/or regulations is prohibited. This includes, but is not limited to, material legally judged to be threatening or obscene. UWWWEB reserves the right to refuse service to the Client without providing reason or cause.

  9. Copyright - Custom artwork and graphics, including images, collages, logos, banners, headers, titles, and page layouts, or other materials uploaded by the Client, or created exclusively and specifically for the Client, and for which the Client has paid UWWWEB in full, become the property of the Client, and the Client grants UWWWEB the rights to use such imagery or materials for promotion(s) as UWWWEB desires. All other materials created by UWWWEB remain the exclusive property of UWWWEB. The Client must obtain permission, and rights, to use any information, or files, that are copyrighted by a third party, and agrees to indemnify, and hold harmless, UWWWEB from any and all claims resulting from the Client's negligence or inability to obtain proper copyright permissions. Every contract for design and/or placement shall be regarded as a guarantee by the Client to UWWWEB that all such permissions and authorities have been obtained. Evidence of permissions and authorities may be requested.

  10. Standard Media Delivery - Any information requested by our technical support/customer support teams must be provided by the Client in electronic format (e.g., MS Word or ASCII text files, delivered on CD/DVD, via e-mail, or FTP) and that all photographs, and other graphics, will be provided physically in high quality print that is suitable for scanning, or electronically in .gif, .jpg, .png, or .tiff format. Additional expenses may be incurred, and will be invoiced accordingly, for corrective work, conversion of media, or outside facility charges. Although every reasonable attempt shall be made by UWWWEB to return to the Client any images or printed material provided for use in creation of the Client's website, however, such return cannot be guaranteed.

  11. Access Requirements - If the Client's website is to be installed on a third-party server, UWWWEB must be granted temporary read/write access to the Client's storage directories, and those directories must be accessible via FTP. Depending on the specific nature of the project, other resources may also need to be configured on the server.  In the case of a website installation on third-party servers, UWWWEB will require full payment of all outstanding project development fees, hosting server fees, domain registration fees, consulting fees, or any service fee which has been invoiced to the Client prior to uploading the final web pages to the third-party server. Any and all maintenance changes, programming, or additional labour, must be paid to UWWWEB in full, prior to uploading to third-party servers.

  12. Right To Pull - By agreeing to these Terms and Conditions, the Client agrees to give UWWWEB "on demand" access to the Client's products and/or services, and further agrees that UWWWEB shall have the right to remove the products and/or services, the Client is subscribing to, for failure to adhere to these Terms and Conditions, including violation of any licensing agreements and/or failure to pay fees duly assessed.

  13. Post-Placement Alterations - UWWWEB cannot accept responsibility for any alterations caused by a third party accessing the Client's products or services once installed or given. Such alterations include, but are not limited to additions, modifications, or deletions.

  14. Indemnity - The Client agrees to indemnify, and hold harmless, UWWWEB from any and all claims resulting from the Client's use of UWWWEB's products and services that cause damage to the Client, or a third party.

  15. Disclaimer - UWWWEB makes no guarantees or warranties of any kind, whether expressed or implied, for the products and services UWWWEB provides. UWWWEB also disclaims any warranty of merchantability, or fitness for a particular purpose. UWWWEB will not be responsible for any direct, indirect, or consequential damages, which may result from the use of its services, including loss of data resulting from delays, non-delivery, or interruption in service. The Client acknowledges and agrees that UWWWEB cannot be responsible for service interruptions caused by Acts of God, or other circumstances beyond UWWWEB's control.

  16. General - These Terms and Conditions supersede all previous representations, understandings, or agreements, and shall prevail notwithstanding any variance of Terms and Conditions of any order submitted. Once agreed, the Client constitutes agreement to and acceptance of these Terms and Conditions. UWWWEB reserves the right to change the Terms and Conditions at any time, without notice, but every attempt to give notice will be made. All Terms and Conditions are non-negotiable.

  17. Governing Law - This Agreement shall be governed by the provincial, and federal laws of Canada and the United States of America, which shall claim venue and jurisdiction for any legal motion or claim arising from these Terms and Conditions. These Terms and Conditions are void where prohibited by law.
